Terms that shape every Softwave Studios engagement.

1. Acceptance of terms

By accessing our website or entering a statement of work with Softwave Studios, you agree to these terms. If you represent an organization, you confirm that you have authority to bind that organization.

2. Services

Engagements are defined in proposals or statements of work (SOWs). Each SOW outlines deliverables, milestones, responsibilities, and timeline expectations. Deviations require written approval from both parties.

3. Pricing & payment

• Fees, billing cadence, and payment methods are listed in the applicable SOW or invoice.
• Unless otherwise stated, invoices are due within 14 days. Late payments may incur a 1.5% monthly service charge.
• We reserve the right to pause work if payments remain outstanding for more than 21 days.

4. Client responsibilities

To deliver effectively, we rely on you to:

• Provide timely access to assets, accounts, or subject matter experts.
• Review deliverables and give consolidated feedback within agreed timeframes.
• Ensure supplied materials do not infringe third-party rights.

5. Intellectual property

Upon full payment, you gain ownership of final deliverables explicitly defined in the SOW. Softwave Studios retains rights to pre-existing materials, internal frameworks, and non-identifiable learnings that contribute to future work.

6. Confidentiality

Both parties agree to protect confidential information disclosed during an engagement. Confidential information includes business strategies, product plans, pricing, and user data. Public or independently developed information is excluded.

7. Warranties & disclaimers

We warrant that services will be performed with reasonable care and skill. Except as expressly provided, we disclaim all other warranties, including implied warranties of merchantability or fitness for a particular purpose.

8. Limitation of liability

To the maximum extent permitted by law, Softwave Studios is not liable for indirect, incidental, or consequential damages. Our aggregate liability under an engagement is limited to the fees you paid in the six months preceding a claim.

9. Termination

Either party may terminate an SOW with 14 days’ written notice. You remain responsible for payment of work completed and any non-refundable third-party costs incurred prior to termination.

10. Governing law

These terms are governed by the laws of Bangladesh. Disputes will be handled through good-faith negotiations before exploring arbitration or court proceedings.

11. Changes to terms

We may update these terms to reflect changes in services or legal requirements. When a change is material, we will notify active clients via email or update banners.
